Mr. Hales acts as counsel to businesses, nonprofit organizations and health care providers. Specific topics include compliance with legal and organizational requirements, corporation, limited liability company and partnership formation, the drafting and negotiation of a variety of business contracts, government regulation, HIPAA-HITECH Privacy, Breach Notification and Security Rule compliance, Missouri Sunshine Law requirements and other business legal issues including the application of the provisions of the Sarbanes-Oxley law that affect privately held companies and nonprofit organizations in two notable areas (whistle-blower protection and document retention). He also works with clients to select, manage and control legal costs of outside counsel required for specialized matters
